How current are the Secretary of State's online records?
The Secretary of State's online records are updated as they are added to the database; there is no delay between when a record is added and when it is available online.
What does "inactive" status on a name search mean?
Entities that are "inactive" are either in "good standing" or "bad standing." If an entity has "inactive status and bad standing," either the entity did not file an annual report for the year, or the registered agent has resigned and a new agent has not been appointed. Entities that have "inactive status and bad standing" will be administratively dissolved. An entity with "inactive status and good standing" either filed articles of dissolution and is left in good standing, changed its name or merged into another entity.
How can I get a photocopy of a document that is not available online?
Photocopies of documents that have not been scanned and are not available online are available from the office of business for a fee of $5.00 for up to five pages plus $0.50 for each additional page. Copies can be faxed for a fee of $5.00 for every 10 pages. Where do I apply for a Federal Employee Identification Number (FEIN)?
FEINs are issued by the Internal Revenue Service. The Secretary of State's office does not issue or maintain records of FEINs.
Can I get a list of newly formed businesses?
Yes. The Secretary of State offers a bulk data service, where you will find searchable data that is updated daily, weekly and monthly. For specific questions regarding the bulk data subscription service, please contact Kentucky.gov at (502) 875-3733.
Do corporations file their bylaws with the Secretary of State?
No. Bylaws are maintained by the corporation itself.
What is the difference between an "S" corporation and a "C" corporation?
In this instance, "S" and "C" refer to federal tax laws applicable to a particular corporation. The Secretary of State does not have information whether a corporation is an "S" or "C" corporation. Questions regarding a corporation's federal tax status should be directed to the Internal Revenue Service.
Can I obtain a business license from the Secretary of State's office?
The Secretary of State does not issue business licenses to individuals or business entities formed under Kentucky law. Foreign entities formed under another state or country’s laws are generally required to obtain a certificate of authority before transacting business in the Commonwealth of Kentucky.
Where can I purchase a corporate kit, stock certificates, and corporate seal?
Corporate kits, stock certificates and corporate seals are not available from the Secretary of State's office. You should contact a business form supplier or corporate service company to purchase these items.
Can I find out if there are have been any complaints filed against a business?
The office of business acts only as a ministerial filing office; this office does not track pending lawsuits, complaints or reputation in the business community. Please contact the office of the Attorney General at (502) 696-5300 regarding complaints filed against businesses.

Requests are processed within three business days.
Does the Secretary of State maintain financial records for business entities?
No.
Can I determine an entity's ownership from the Secretary of State's office?
No. The Secretary of State's office lists only the current officers, directors (non-profit) and manager/members (limited liability companies) for business entities.
Do sole proprietors file with the Secretary of State?
No. Sole proprietors file only with their local county clerk's office.
